1. Introduction

These Terms & Conditions govern your use of the Study Saver service, including the Study Saver desktop application and website. By creating an account or using the service, you agree to be bound by them.

Study Saver Ltd is a company registered in England and Wales with company number 17200511. We will be registered with the Information Commissioner's Office (ICO) as a data controller before our public launch.

Our Privacy Policy, which forms part of these terms, explains how we collect and use your personal data. It is available at studysaver.co.uk/privacy.html.

2. The Service

Study Saver is an automatic document backup service designed for university students. The service consists of a desktop application (the "Desktop App") which you install on your computer; automatic configuration and hourly background backup of your Documents and Desktop folders; storage of your backed-up data on secure infrastructure within the European Union, subject to a 500GB allocation per subscription; and an in-app restore facility allowing you to retrieve any file from any backup on any compatible device on which the Desktop App is installed and logged in.

Study Saver is a backup tool. It is not a guarantee against data loss, a full-system backup solution, or a cloud storage or file synchronisation service.

Your subscription is intended for use on your personal devices. You must not use the service across multiple devices in a way that is excessive or abusive, or share your subscription with other people.

3. Eligibility

Study Saver is designed to meet the needs of university students. To create an account, you must have a valid university email address ending in .ac.uk. You must also have the legal capacity to enter into a contract — ordinarily this means you must be 18 or over, or 16 or over with sufficient capacity.

4. Your Account

To use the service you must create an account using a valid .ac.uk email address. You are responsible for keeping your login credentials secure and for all activity that takes place under your account.

You must not share your login credentials with anyone else. Sharing credentials gives others access to your backed-up files and is a breach of these terms.

If you believe your credentials have been compromised, you should change your password immediately and contact us at [email protected].

5. Subscription and Billing

The service is provided on a monthly subscription basis. The subscription price applicable to your account is the price displayed on the Study Saver website at the time you created your account. We may change the subscription price for existing users in accordance with section 17. Payment is taken monthly in advance via our billing portal.

Your subscription renews automatically each month unless you cancel it. It is your responsibility to cancel if you no longer wish to use the service.

If a payment fails, we will attempt to retry the charge. During this period your backups will continue to run as normal. If all payment retries fail, your subscription will be cancelled by our payment processor and your account will immediately enter a read-only state — you will be able to access and restore your backed-up files but no new backups will be taken. If payment is not resolved within 30 days of entering this read-only state, your account will be suspended and your backed-up data will be permanently deleted. We will notify you by email and give you at least 14 days to retrieve your data before permanent deletion.

6. Cancellation

You may cancel your subscription at any time via the billing portal accessible from your account. Cancellation takes effect at the end of the current billing period — you will retain access to the service until that date.

On cancellation, your backed-up data will be retained for 30 days, after which it will be permanently deleted. If you wish to retrieve your files before deletion, you should do so using the restore facility in the Desktop App before the end of that period.

7. What We Back Up

The service backs up the Documents and Desktop folders on your computer. On Windows, this means the standard Documents and Desktop folders associated with your user account. On Mac, this means the Documents and Desktop folders in your home directory.

The following are not backed up: network drives, mapped drives, cloud synchronisation folders (including OneDrive, Google Drive, Dropbox, and iCloud Drive), operating system files, and any folders outside of Documents and Desktop. Individual files exceeding 2GB may be excluded from backups to maintain service quality and storage efficiency. If your Documents or Desktop folders are redirected to a cloud synchronisation service, the service will back up the local copies of files in those folders. Files stored as online-only — not physically downloaded to your local hard drive — cannot be backed up.

Backups run approximately once per hour. Files that are open or locked by another application at the time of a backup run may not be captured in that backup. Such files will ordinarily be captured in a subsequent backup run once they are closed.

8. Restore

The Desktop App provides a restore facility allowing you to retrieve any file from any backup. Restore is available on any computer on which the Desktop App is installed and logged in to your account, including a different computer from the one on which the files were originally backed up.

We encourage you to test the restore facility periodically to verify that your backups are working as expected. We reserve the right to limit restore operations where use is excessive or unreasonable.

9. Storage

Each subscription includes a 500GB storage allocation. This is sufficient for the documents, notes, and coursework of the vast majority of users.

If you approach or exceed your allocation, we will contact you. Additional storage may be made available at our discretion on a case by case basis. We do not guarantee unlimited storage.

10. Service Availability

We will use reasonable endeavours to ensure the service is available at all times. We do not guarantee uninterrupted availability and do not offer a service level agreement.

We may need to carry out maintenance from time to time, which may temporarily affect availability. Where possible we will carry out maintenance during periods of low usage and give advance notice.

11. Our Responsibilities

We will provide the service with reasonable care and skill. We will take reasonable technical and organisational measures to protect your data. We will notify you by email of any material changes to the service or these terms, and will give you reasonable notice of any price increase with the right to cancel without penalty.

Nothing in these terms is intended to, or does, affect your statutory rights under the Consumer Rights Act 2015, including your right to services performed with reasonable care and skill.

12. Your Responsibilities

To receive the service, you must keep the Desktop App installed and running on your computer and ensure your computer is connected to the internet periodically. You are responsible for keeping your login credentials secure and for verifying periodically that your backups are working as expected.

13. Limitation of Liability

Study Saver is a backup tool. While we take every reasonable measure to protect your data, we cannot guarantee that data loss will never occur, and we do not accept liability for data loss or corruption caused by factors outside our reasonable control, including hardware failure, third party infrastructure outages, or user error.

Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.

Subject to the above, our total aggregate liability to you in connection with the service — whether in contract, tort, or otherwise — is limited to the total subscription fees paid by you in the 12 months prior to the claim, or £250, whichever is greater.

We are not liable for any indirect or consequential loss, including but not limited to loss of academic work, lost grades, academic penalties, or any other indirect loss arising from your use of or inability to use the service.

14. Data Protection

We process your personal data in accordance with UK GDPR and the Data Protection Act 2018, and will be registered with the Information Commissioner's Office (ICO) as a data controller before our public launch.

We take appropriate measures to ensure that any third parties involved in delivering the service handle data in accordance with applicable data protection law. Your backed-up data is stored in ISO 27001 and SOC 2 Type 2 certified data centres within the European Union.

15. Intellectual Property

The Study Saver service, Desktop App, website, and all content and materials created by Study Saver Ltd are owned by Study Saver Ltd. You are granted a limited, non-exclusive, non-transferable licence to use the Desktop App for the purpose of receiving the service during the term of your subscription.

Your data remains yours. We claim no rights over any files or content you back up using the service.

16. Acceptable Use

You may use the service only for lawful personal document backup purposes. You must not use the service to store or back up illegal content, share your login credentials with any other person, attempt to access another user's account or data, or attempt to circumvent your storage allocation or any other technical limit of the service. You must not reverse engineer, decompile, modify, tamper with, or create derivative works from the Desktop App or any part of the service, or scrape, harvest, or systematically query the service by automated means. You must only back up files that belong to you or that you have the right to back up — backing up files belonging to another person without their knowledge and consent is not permitted. Your subscription is for personal use only and may not be used for commercial purposes.

17. Changes to the Service and These Terms

We may update these terms or make changes to the service from time to time. Non-material changes — such as clarifications, corrections, or restructuring — will take effect 14 days after being posted at studysaver.co.uk/terms.html.

Material changes — including increases to the subscription price applicable to your account, significant changes to the service, or changes to how we handle your data — will be notified to you by email at least 30 days before they take effect. If you do not wish to accept a material change, you may cancel your subscription before the change takes effect without penalty.

18. Termination by Us

We may suspend or terminate your account if you are in serious or repeated breach of these terms, or if payment remains outstanding beyond the period described in section 5.

Where we terminate your account for breach, we will give you reasonable notice where it is practicable to do so. On termination, we will give you at least 14 days to retrieve your data before it is permanently deleted.

We will not terminate your account without good reason.

19. Governing Law

These terms are governed by the laws of England and Wales. Any disputes arising from or in connection with these terms or the service will be subject to the exclusive jurisdiction of the courts of England and Wales.

Nothing in this section affects your right to bring proceedings in any other court where you are entitled to do so under applicable law.

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
